Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Townsaid, Inc., a Delaware corporation (“Townsaid”, “we”, “us”). By creating an account, requesting a free check or using the service, you agree to these Terms. If you use Townsaid on behalf of a business or agency, you confirm you have authority to bind it, and “you” means that organization. If you do not agree, do not use the service.

Townsaid is a self-serve software service that asks third-party AI platforms, including ChatGPT, Google AI Mode, Gemini and Perplexity, the questions you choose to track, records their answers, and provides scores, source analysis, reports and suggested fixes. Townsaid is read-only: we do not log into or change your listings, website or other accounts. We may add, change or remove features over time, and will not materially reduce the core functions of a paid plan during a billing period you have paid for.

You must be at least 18 and provide accurate account information. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly at hello@townsaid.com if you believe your account has been accessed without permission.

• Paid plans are billed monthly, in advance, through our payment processor. You authorize us to charge your payment method each month until you cancel.
• You can cancel at any time. Cancellation takes effect at the end of your current billing period, and you keep access until then.
• We do not provide refunds or credits for partial months, unused locations or unused questions, except where required by law.
• We may change prices with at least 30 days' notice by email. The new price applies from your next billing period after the notice period ends. If you do not agree, you can cancel before then.
• Prices do not include taxes, which you are responsible for where applicable. If a payment fails, we may suspend paid features until it is resolved.

We may offer a free check of up to 10 questions. Free checks are provided as-is, once per business unless we agree otherwise, and we may decline or limit them at our discretion. Free checks are subject to these Terms.

You agree not to:

• Scrape, crawl or extract data from the service by automated means, or attempt to reverse engineer it.
• Resell, sublicense or provide the service to third parties, except under the Agency plan for your own clients.
• Use the service to harass, defame or interfere with competitors or any other business.
• Use insights from the service to post fake reviews, buy reviews, create fake listings or otherwise mislead consumers or AI platforms.
• Break the law, infringe others' rights, or violate the terms of the third-party platforms involved.
• Interfere with the security or operation of the service, or share your account to avoid plan limits.

You keep ownership of the information you provide, such as business details, tracked questions and competitor names (“Customer Content”). You grant Townsaid a limited, non-exclusive license to use Customer Content to provide, secure and improve the service. We may use aggregated, de-identified data that does not identify you or your business to improve the service and describe general trends. You are responsible for having the rights to the Customer Content you submit.

AI answers shown in Townsaid come from third-party AI platforms that change constantly and may be inaccurate, incomplete or inconsistent. Townsaid does not control those platforms or their answers. Scores, source analysis and suggested fixes are informational. Townsaid does not guarantee any ranking, mention, recommendation, traffic, revenue or other business result, and you are responsible for decisions you make based on the service.

The service relies on and links to third-party services, including AI platforms, review sites, listings and our payment processor. Your use of those services is governed by their own terms, and we are not responsible for their availability, content or practices.

Townsaid and its licensors own the service, software, design, reports format, trademarks and all related intellectual property. Subject to these Terms, we grant you a limited, non-transferable right to use the service during your subscription. Reports you download may be used and shared for your business, and Agency plan customers may share white-label reports with their clients.

If you send us ideas or suggestions, we may use them freely without any obligation to you.

Each party will protect the other's non-public information disclosed in connection with the service with reasonable care, use it only to perform under these Terms, and not disclose it except to employees and contractors who need it and are bound by similar obligations, or as required by law. This does not apply to information that is public, already known, independently developed or lawfully received from someone else.

The service is provided “as is” and “as available”. To the fullest extent permitted by law, Townsaid disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and does not warrant that the service will be uninterrupted, error-free or that AI answers will be accurate.

To the fullest extent permitted by law, Townsaid will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Townsaid's total liability for all claims relating to the service or these Terms is limited to the fees you paid to Townsaid in the 12 months before the event giving rise to the claim.

You will defend and indemnify Townsaid and its officers, employees and agents against third-party claims, damages and costs, including reasonable attorneys' fees, arising from your Customer Content, your violation of these Terms, or your use of the service in violation of law or third-party rights.

You can stop using the service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the service in a way that creates legal or security risk, and we will give notice where reasonable. On termination, your right to use the service ends and we will delete your account data as described in our Privacy Policy. Sections that by their nature should survive, including fees owed, intellectual property, disclaimers, limitation of liability, indemnification and governing law, survive termination.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.

If you have a dispute with us, please email hello@townsaid.com first, and we will try to resolve it informally within 30 days. If we cannot, any dispute will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. Each party may bring claims only in an individual capacity and not as part of a class action, to the extent permitted by law.

We may update these Terms. We will change the effective date above and, for material changes, notify customers by email at least 30 days before they take effect. Continuing to use the service after that date means you accept the updated Terms.
